We are excited for our Annual May Event at the Club at Rancharrah. The Event will start at 12pm with registration and refreshments.  Speakers’ presentation starts at 1pm and go until 4/4:30. After the presentations, we will have Happy Hour with drinks and appetizers.

QSBS Planning: Packing, Stacking & Tracking

This program will delve into estate and tax planning opportunities utilizing the Qualified Small Business Stock (QSBS) gain exclusion under IRC §§1202 and 1045. We will explore sophisticated strategies for maximizing the QSBS exclusion, including entity structuring, trust and gift planning, multi-taxpayer stacking, and compliance and documentation practices.  The presentation will also address many of the unanswered questions for QSBS including SAFE holding period, ownership of subsidiaries, and treatment of carried interest. Attendees will gain actionable insights to help clients capture and preserve QSBS benefits throughout the business lifecycle.

Jeffrey C. Messerschmidt, CPA, Partner

Jeffrey is a tax partner with over 17 years of tax experience and is head of the family office practice.  He works closely with wealthy families and their complex estate structures and balance sheets as their most trusted advisor. He also has extensive experience in the alternative investment fund industry. Jeffrey has a deep commitment to developing meaningful relationships and partnerships with his clients, which provides him with insights that allow him to provide strategic advice on income tax and family office issues. In addition, he is recognized nationally as a leading provider of professional services in the venture capital ecosystem and has spoken nationally on the topic of qualified small business stock. 

Jeffrey is a member of the American Institute of Certified Public Accountants and the California Society of Certified Public Accountants. He earned a Bachelor of Science degree in Business Administration with a double concentration in accounting and financial management from Cal Poly San Luis Obispo. Upon graduation, he joined Navolio & Tallman LLP as a staff accountant.

Hanson Bridgett LLP

Nancy Dollar is a partner in the tax group at Hanson Bridgett LLP, a full-service law firm based in California. Nancy focuses her practice on advising clients on federal income tax planning and controversy matters. She regularly counsels founders, investors, and early employees on capital gain exclusion on the sale of qualified small business stock (QSBS). She also assists individuals and businesses on the tax aspects of both buy-side and sell-side transactions. In her prior roles, Nancy has years of experience as a transactional tax specialist in a national corporate mergers and acquisitions practice, as well as working in-house at a tech startup.
